RESELLER POLICY

By purchasing MarketHive services for resale, you agree to adhere to this Reseller Policy.

To ensure that MarketHive's authorized resellers ("Resellers") are able to maintain healthy margins and ensure that MarketHive's end users receive a quality sales and customer service experience, MarketHive has announced this Reseller Policy (the "Reseller Policy"). MarketHive believes that its end user customers are best served by having resellers who market the MarketHive Services as premium branded products and who provide an outstanding level of service and support to their end user customers.

MarketHive adopts this Resale and Quality Policy (this "Policy") and requires each person, company or entity (as applicable, a "Reseller") that purchases its services (the "Services") for resale or other distribution to agree to comply with this Policy. Accordingly, the terms of this Policy are incorporated into and in addition to any contract entered into between MarketHive and the Reseller in connection with the Reseller's purchase or sale of the Services.

Sales only to end users.

Unless otherwise agreed with MarketHive in writing, Reseller may only purchase Services for resale to consumers and end users and Reseller may not resell Services to suppliers or for distribution in any way.

Internet Sales Prohibited.

Reseller shall be prohibited from selling our branded Products over the Internet unless it applies, is approved by MarketHive and executes an Authorized Internet Reseller Agreement or other similar agreement governing the manner in which it sells online.

Territory Restricted Sales.

If the Reseller purchases Services under an agreement that obligates the Reseller to resell the Services in a geographic territory, the Reseller must comply with that obligation.

Intellectual property.

Unauthorized use of the intellectual property of our Services is prohibited. Resellers who comply with this Policy have a limited, non-exclusive, non-sublicensable, revocable license to use MarketHive's trademarks and copyrights in connection with the sale of the Products. Reseller shall not alter, modify or change any trademark or copyright, nor shall Reseller use any trademark or copyright other than for the promotion and sale of the Services, nor shall Reseller use any trademark or copyright in any manner that adversely affects such trademark or copyright. Failure to comply with the Policy will result in automatic revocation of the license granted herein and forfeiture of all rights granted herein. MarketHive reserves the right to revoke this license at any time for any or no reason;

Inspection Service.

MarketHive will promptly inspect all Services upon completion and will promptly return on the terms of sale any Services that appear incomplete or unsatisfactory upon inspection.

Sales Practices.

Reseller shall conduct its business in a reasonable and ethical manner at all times and shall not engage in any deceptive, misleading or unethical practices or advertising at any time or make any warranties or representations with respect to the Services, except as expressly authorized by MarketHive. Reseller shall comply with applicable laws, rules, regulations and policies relating to the advertising, sale and marketing of the Services.

Customer service level.

Reseller shall provide the highest levels of customer service. Reseller and Reseller's sales personnel shall be familiar with the special features of all MarketHive Services marketed for sale and shall obtain sufficient product knowledge to advise customers on the selection and safe use of the Services, as well as any applicable warranties, guarantees or returns. policy.

Customer service channels.

Reseller will maintain customer service email and telephone response functions as required by the original Agreement to handle customer complaints, returns and other customer service functions. Upon MarketHive's request, Reseller will provide any reports or other information requested by MarketHive, with respect to a particular Service to determine the date of purchase of the Service by Reseller, the location where the Service was purchased and the dates on which the Service was sold. or performed by Reseller to a purchaser.

Consumer Safety and Cancellation of Service.

Reseller will cooperate with MarketHive in connection with any investigation of consumer safety claims or any evaluation of cancellation of Service. To ensure the safety and well-being of end users of the Services, Reseller agrees to cooperate with MarketHive with respect to any Service cancellation or other consumer safety information dissemination efforts.

Service failure.

If a significant amount of Services purchased by Reseller fails, Reseller shall immediately report such event to MarketHive.

Report unauthorized resellers.

If Reseller has information, or reasonably suspects, that any person is purchasing and reselling or distributing Services in a manner not authorized by MarketHive, Reseller must immediately notify MarketHive.

Other information, documents and reports.

Reseller shall provide MarketHive with all supplemental information, documents and reports that MarketHive may request to validate Reseller's compliance with this Policy and to support MarketHive's warranty and customer service support obligations and initiatives.

Unilateral policy changes

MarketHive sales personnel have no authority to modify or grant exceptions to this Unilateral Policy. Any questions regarding the interpretation of this Policy should be directed to the Reseller Policy Committee at info@markethive.com.

Termination and liability due to policy violation

If MarketHive determines that the Reseller is in violation of the Reseller Policy, it may take appropriate legal action, including, but not limited to, refusing to accept orders from the Reseller or instructing its distributors to refuse to accept orders from the Reseller.

Policy modification and changes

MarketHive reserves the right to update, amend or modify this Reseller Policy at any time. Unless otherwise stated, such amendments shall be effective immediately and Reseller's continued use, advertising, offering for sale or sale of the Products shall be deemed to be Reseller's acceptance of the amendments.
